Terms of Service

Effective & Last Updated: October 17, 2026Entity: Systemics Inc., d/b/a Echelon Fleet SystemsCanonical Domain: https://echelonfleet.comLegal Contact: legal@echelonfleet.com

These Enterprise SaaS Terms of Service (“Terms” or “Agreement”) govern access to and use of the Echelon Fleet Operating System, web console, driver mobile/web portal, optimization engines, and APIs hosted on https://echelonfleet.com and its subdomains (collectively, the “Service”), provided by Systemics Inc., d/b/a Echelon Fleet Systems (“Echelon,” “Echelon Fleet Systems,” “we,” “us,” or “our”). By creating an account, signing in via Google OAuth or Microsoft Entra ID, provisioning a demo workspace, or executing an Order Form referencing these Terms, you (“Customer,” “Tenant,” or “you”) agree to be bound by this Agreement, together with our Privacy Policy, End-User License Agreement (EULA), Cookie Policy, and Data Processing Addendum (DPA).

1. Account Registration & Google / Microsoft OAuth Authentication

To access the Echelon console, users must authenticate using an authorized corporate email and strong password (minimum 12 characters with bcrypt hashing) or via federated Single Sign-On (SSO) through Google OAuth 2.0 or Microsoft Identity Platform (Microsoft Entra ID / Azure AD).

  • Authorized Corporate Representation: You represent and warrant that you are authorized to bind the motor carrier or organization associated with your work email domain and that all registration and USDOT/FMCSA carrier information you provide is accurate and current.
  • Credential & OAuth Token Stewardship: Customer is responsible for maintaining the confidentiality of user credentials, API keys, and OAuth session states, and for configuring appropriate Role-Based Access Control (RBAC) roles (Org Admin, Dispatcher, Finance, Safety Officer, Driver) within its tenant. Customer must notify security@echelonfleet.com immediately upon discovering any unauthorized access.
  • Demo Workspaces: Ephemeral demo tenants provisioned at https://echelonfleet.com/demo are preloaded with public FMCSA census data for evaluation purposes only, are provided “as-is,” and may be purged by Customer or Echelon at any time.

2. Multi-Site Fleet Subscriptions, Per-Vehicle Metering & Facility-Fee Value Share

Production access to Echelon is licensed on a tiered, per-active-vehicle monthly or annual subscription basis, supplemented by optional automated value-share modules as specified in your billing configuration or Order Form:

  • Per-Vehicle Metering: Billable fleet counts are calculated based on active revenue vehicles (motorcoaches, minibuses, sprinters, and shuttle vans) registered in the tenant's fleet roster during the applicable billing cycle, excluding vehicles marked decommissioned or out-of-service for the entire billing period.
  • Multi-Site & Yard Hierarchy: Enterprise tenants may configure multiple operating divisions, terminals, and maintenance yards under a single parent organization, with consolidated or division-level billing.
  • Automated Facility-Fee Recovery & Value Share Auditing: Where enabled, Echelon's geospatial quoting and dispatch engine automatically detects airport, stadium, port, convention center, and toll authority geofences and appends mandatory facility recovery fees to customer quotes and invoices. Any applicable value-share percentage is calculated strictly against verified, collected facility-fee recoveries documented in the tenant's immutable financial ledger.
Regulatory Allocation of Responsibility

3. FMCSA 49 CFR § 395.5 Passenger HOS, ELD Immutability & DOT/IFTA Compliance Responsibilities

Echelon provides automated compliance guardrails, including mathematical feasibility checks for 49 CFR § 395.5 passenger-carrying Hours-of-Service limits (10-hour driving limit, 15-hour on-duty limit, 8-hour consecutive off-duty requirement, and 60/70-hour 7/8-day rolling duty cycles), Electronic Logging Device (ELD) immutable event ledgers (49 CFR § 395.22 / § 395.30), CDL/medical card expiration locks, and automated state-by-state IFTA mileage/tax computation.

Customer Remains USDOT Motor Carrier of Record: Echelon is a software technology provider, not a licensed motor carrier, law firm, or certified public accounting firm. Customer remains solely and exclusively responsible as the USDOT Motor Carrier of Record for verifying driver qualifications, enforcing roadside compliance, reviewing and certifying ELD logs, verifying physical vehicle inspections (DVIRs), and submitting final quarterly IFTA returns and federal/state tax filings.

4. Acceptable Use, Multi-Tenant Row-Level Security (RLS) Isolation & API / MCP / A2A Limits

Every Echelon tenant is logically isolated at the database layer using PostgreSQL FORCE ROW LEVEL SECURITY policies bound to the authenticated session's org_id. To preserve platform integrity across echelonfleet.com, you agree not to:

  • Attempt to bypass, probe, or circumvent tenant Row-Level Security (RLS) boundaries, OAuth PKCE/CSRF state parameters, or JWT signature verification;
  • Falsify, tamper with, or inject fraudulent GPS telemetry or FMCSA ELD duty status records in violation of 49 CFR § 395.8(e);
  • Send unsolicited marketing messages via Echelon's Twilio 10DLC dispatch SMS infrastructure or transmit messages to recipients who have opted out via STOP;
  • Exceed published rate limits on Echelon's REST APIs, Model Context Protocol (MCP) endpoints, or Agent-to-Agent (A2A) endpoints, or use automated scrapers to extract third parties' FMCSA intelligence at abusive volumes.

5. Payment Terms, 99.9% Uptime SLA, Limitation of Liability, Indemnification & Governing Law

  • Payment & Billing: Subscription fees are billed in advance via Stripe or invoiced net-30 per your Order Form. Late payments may accrue interest at 1.5% per month (or the maximum rate permitted by law).
  • 99.9% Uptime Service Level Commitment (SLA): For paid production tenants, Echelon commits to a 99.9% monthly uptime target across core dispatch, quoting, and ELD API services on echelonfleet.com, excluding scheduled maintenance windows announced at least 24 hours in advance and force majeure events.
  • Warranty Disclaimer & Limitation of Liability: Except as expressly stated in these Terms, the Service is provided “AS IS” and “AS AVAILABLE,” and Echelon disclaims all implied warranties of merchantability, fitness for a particular purpose, and non-infringement. To the maximum extent permitted by law, neither party shall be liable for indirect, incidental, special, consequential, or punitive damages, and Echelon's aggregate cumulative liability arising out of or relating to this Agreement shall not exceed the total subscription fees paid by Customer to Echelon in the twelve (12) months immediately preceding the event giving rise to the claim.
  • Indemnification: Customer agrees to defend and indemnify Echelon from third-party claims or regulatory fines arising from Customer's physical motorcoach operations, USDOT/FMCSA safety violations, unlawful SMS transmissions initiated by Customer, or breach of this Agreement. Echelon agrees to defend and indemnify paid Enterprise Customers against third-party claims that the unmodified Echelon platform infringes a valid U.S. patent, copyright, or trade secret.
  • Governing Law & Venue: This Agreement is governed by the laws of the State of Delaware and applicable federal laws of the United States, with concurrent operational venue permitted in the state or federal courts located in Delaware or Miami-Dade County, Florida, without regard to conflict-of-law principles.

6. Term, Termination & Full Data Portability

Customer retains full ownership of all Customer Data entered into Echelon. Customer may export its trips, quotes, invoices, ELD/HOS logs (in FMCSA-compliant CSV/JSON format), and IFTA ledgers at any time during an active subscription and for thirty (30) days following termination. Upon workspace deletion or expiration of the post-termination export window, Echelon permanently deletes Customer's operational records from active production databases in accordance with our Data Processing Addendum.
