End-User License Agreement (EULA)
This End-User License Agreement (“EULA”) is a binding legal agreement between you (an individual commercial driver, dispatcher, safety officer, accountant, administrator, or the motor carrier entity you represent, collectively “End User” or “you”) and Systemics Inc., d/b/a Echelon Fleet Systems (“Echelon,” “Echelon Fleet Systems,” “Licensor,” “we,” or “us”) governing your installation, connection, and use of the Echelon Web Console, Echelon Driver Portal & Electronic Logging Device (ELD) interface, Proprietary AI Multi-Depot Dispatch Optimization Engine, Predictive Maintenance ML Suite, AI Operations Copilot, and connected OAuth 2.0 applications (including Microsoft Entra ID / Azure AD, Google OAuth 2.0, and Intuit QuickBooks Online) hosted at https://echelonfleet.com (collectively, the “Licensed Software”).
This EULA satisfies the mandatory End-User License Agreement requirements for Microsoft Entra ID (Azure AD) App Gallery & Publisher Verification, Google Cloud OAuth Brand Verification, and Intuit QuickBooks Online Production App Partner Approval. It supplements our Terms of Service and Privacy Policy.
1. License Grant & Scope of Use
Subject to your continuous compliance with this EULA and your organization's active subscription under the Echelon Terms of Service, Echelon grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the Licensed Software solely for your internal commercial motorcoach, shuttle, and fleet transportation operations:
- Echelon Web Console: Browser-based access at https://echelonfleet.com/console for authorized dispatchers, safety officers, finance managers, and administrators.
- Echelon Driver Portal & ELD Interface: Mobile-responsive web and in-cab tablet access at https://echelonfleet.com/console/driver-portal for commercial drivers to view trip manifests, record FMCSA 49 CFR Part 395 duty status changes, certify daily logs, and submit pre-trip/post-trip DVIRs.
- Proprietary AI Optimization Engine & AI Operations Copilot: Execution of automated vehicle/driver assignment optimization runs, predictive maintenance ML models, and natural-language operational queries strictly scoped to your authenticated tenant's data.
2. License Restrictions
You shall not, and shall not permit any employee, contractor, or third party to:
- Copy, modify, translate, adapt, decompile, reverse-engineer, disassemble, or attempt to derive the source code, proprietary machine learning formulation weights, or proprietary pricing and deadhead routing algorithms of the Licensed Software;
- Sublicense, rent, lease, timeshare, or operate the Licensed Software as a service bureau for unaffiliated motor carriers without a separate multi-tenant partner agreement;
- Alter, forge, or suppress mandatory FMCSA ELD event audit trails (49 CFR § 395.30) or bypass driver qualification safety locks;
- Remove, obscure, or alter any copyright, trademark, or proprietary notices of Echelon Fleet Systems displayed within echelonfleet.com.
3. Third-Party Integrations & Discontinuation / Revocation Policy
The Licensed Software interoperates with third-party enterprise services authorized by you or your Tenant Administrator:
- Google OAuth 2.0 & Google Maps Platform: Used for federated user sign-in and commercial route/facility geofence calculations, governed by Google's Terms of Service and the Google API Services User Data Policy.
- Microsoft Identity Platform (Microsoft Entra ID / Azure AD): Used for enterprise Single Sign-On (SSO), directory tenant validation, and RBAC group claims.
- Intuit QuickBooks Online (QBO) OAuth 2.0: Used to synchronize charter invoices, customer records, chart-of-accounts mappings, and facility-fee journal entries between Echelon and the Customer's QuickBooks Online company file. Intuit is a third-party beneficiary of this EULA with respect to QuickBooks API data connectivity, and Intuit makes no warranties and assumes no liability regarding the Licensed Software.
- Stripe, Twilio 10DLC & Resend: Used for payment processing, driver dispatch SMS alerts, and transactional email delivery.
Right to Disconnect OAuth Tokens at Any Time: Organization Administrators and End Users may disconnect or revoke any linked OAuth 2.0 integration (Google, Microsoft Entra ID, or Intuit QuickBooks Online) at any time directly inside the Echelon console at https://echelonfleet.com/console/settings, or by emailing support@echelonfleet.com. Upon disconnection, Echelon immediately invalidates and deletes the stored OAuth access and refresh tokens from its encrypted credential store.
4. Intellectual Property, Telemetry & Diagnostic Data
The Licensed Software, including its user interface, design tokens, proprietary AI/ML dispatch and predictive maintenance pipelines, FMCSA rules engine, and documentation on echelonfleet.com, is licensed, not sold, to you. Echelon Fleet Systems retains all right, title, and interest in and to the Licensed Software and all associated intellectual property rights.
Echelon may collect anonymized system performance telemetry, solver execution timings, and crash diagnostics to monitor the 99.9% uptime SLA and improve software stability. As detailed in our Privacy Policy, Echelon never sells your operational or personal data and never uses Google or Microsoft OAuth user data to train generalized AI models.
5. Warranty Disclaimer, Limitation of Liability & Termination
THE LICENSED SOFTWARE IS PROVIDED “AS IS” WITHOUT EXPRESS OR IMPLIED WARRANTY OF ANY KIND, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. IN NO EVENT SHALL ECHELON FLEET SYSTEMS OR ITS THIRD-PARTY LICENSORS (INCLUDING GOOGLE, MICROSOFT, OR INTUIT) BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, OR SPECIAL DAMAGES ARISING OUT OF THIS EULA.
This EULA is effective until terminated. Your license rights under this EULA will terminate automatically without notice if you fail to comply with any of its terms or upon termination of your organization's subscription on echelonfleet.com. Upon termination, you must cease all use of the Licensed Software, subject to your organization's 30-day regulatory data export window.
